These Terms of Service ("Terms") govern your access to and use of Scarleta (the audio-AI platform available at scarleta.ai, its web application, its developer REST API, and any related services, together the "Service"). By creating an account, using an API key, or otherwise accessing the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Acceptance and changes to these Terms

By accessing or using the Service you accept these Terms in full. We may update these Terms from time to time. When we make material changes we will update the "Last revised" and "Effective" dates above and, where appropriate, give notice through the Service. Your continued use after an update takes effect constitutes acceptance of the revised Terms. If you do not agree to a change, you should stop using the Service and may request account deletion (Section 12).

2. Eligibility and accounts

You must be able to form a binding contract to use the Service. Accounts are created and authenticated through our identity provider. You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity that occurs under your account or keys. Notify us promptly if you believe your credentials or an API key have been compromised. Paid accounts may operate as a shared team workspace with member roles (administrator and member) and ownership transfer; the account owner and administrators are responsible for the members they invite.

3. The Service

Scarleta lets you store, organize, analyze, process, and build on audio. It provides a persistent per-account audio library (upload, browse, version, download, and delete), a catalog of audio capabilities such as separation, transcription, tagging, and signal analysis, the ability to compose those capabilities into saved multi-step recipes, and a developer API for running work one item at a time or in bulk. Some features are available on the free tier and some require a paid balance. We may add, change, or remove features over time.

4. Your content and ownership

You retain all rights you hold in the audio and other materials you upload ("Your Content"). We do not claim ownership of Your Content. You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you. For example, to run the analysis or processing you request, to cache derived results so you are not charged twice for the same audio in your own account, and to deliver outputs back to you. We do not use Your Content to train foundation models, and we do not sell Your Content. You are responsible for ensuring you have the rights necessary to upload and process Your Content and for your use of any outputs.

5. Acceptable use

You agree not to use the Service to upload or process content you lack the rights to, to infringe intellectual-property or privacy rights, to attempt to identify or impersonate a person from a voice without consent, to build or distribute unlawful or harmful material, to probe or circumvent our security, rate limits, or billing controls, or to interfere with the integrity or performance of the Service. We may suspend or limit access to protect the Service, other users, or third parties.

6. Billing and payments

Scarleta is prepaid. You purchase a balance of usage credits through our payment processor and consume that balance as you use the Service, metered by the second of audio processed. Scarleta is not a subscription and does not bill on a recurring monthly plan; optional auto-recharge, if you enable it, tops up your prepaid balance rather than committing you to a recurring plan. Prices and metering are described in the Service and may change prospectively. Certain operations, such as time-trimming a file, are provided at no usage charge. Except where required by law, purchased balances are non-refundable.

7. Developer API and rate limits

If you use the developer API, you must keep your API keys secret and use the Service within its documented rate limits and error model. We may apply fair-usage concurrency controls and may throttle or reject requests that exceed limits or threaten platform stability. You are responsible for the security of any webhook endpoints you register and for validating the delivery of any completion callbacks we send to a URL you provide.

8. Third-party processors

We rely on reputable third-party providers to deliver the Service, including providers for authentication, payment processing, compute, and edge delivery and storage. These providers process data on our behalf under their own terms and safeguards. See our Privacy Policy for the current list of sub-processors and the purpose each serves.

9. Service availability

We work to keep the Service reliable but provide it on an "as available" basis. We do not commit to any specific uptime level in these Terms, and we may perform maintenance, impose limits, or modify or discontinue parts of the Service. Where a request fails, the Service reports honest error information so you can retry or adjust.

10. Disclaimers

The Service and all outputs are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Analysis, transcription, tagging, and processing outputs are best-effort and are not guaranteed to be accurate, complete, or fit for any particular use. See our Disclaimer for detail. Nothing in the Service is legal, financial, or other professional advice.

11. Limitation of liability

To the maximum extent permitted by law, Scarleta and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the three months preceding the event giving rise to the claim.

12. Termination and account deletion

You may stop using the Service at any time and may request deletion of your account through the account settings; you may also request an export of your data. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that threatens its security, legality, or availability. On account deletion, your library files and associated data are removed as described in our Privacy Policy, subject to any retention we are legally required to maintain.

13. Governing terms

These Terms are the entire agreement between you and Scarleta regarding the Service and supersede prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver.
